Purpose
These Sales Terms govern subscriptions to paid offerings published by MEIZ (EURL) under the Freelance OS brand, primarily the Kernel SaaS.
The informational site freelance-os.fr does not perform direct sales. Solo Dev Agency sales are governed by solodevagency.fr's own terms.
Pricing
Current pricing is published on the Pricing page, in euros (EUR), excluding tax where indicated, or all-tax-included for consumers.
Prices may evolve. Any change applicable to an in-force subscription is notified by email with a 30-day notice. The customer may terminate free of charge before the new pricing takes effect.
Subscription
Subscriptions are made online at kernel.freelance-os.fr. They require:
- Acceptance of the Terms and these Sales Terms
- Accurate information (contact, billing)
- A valid payment method
The subscription is concluded upon payment confirmation by Stripe.
Free trial
The Pro plan may be offered with a 14-day free trial. A valid payment card is required at sign-up, but no amount is charged during the trial. After 14 days, the subscription becomes paid and the card is charged automatically, unless you cancel before the trial ends. A reminder is sent before the period ends.
Payment
Payments are processed by Stripe Payments Europe Ltd. Accepted methods include major credit cards and, when available, SEPA, bank transfer, and local payment solutions.
No full card data is stored by Freelance OS. Card information is transmitted and stored encrypted at Stripe, certified PCI-DSS level 1.
Usage-based billing
Some plans include usage quotas (AI generation, scraping, transcription, conversations, emails). Beyond the included quotas, additional usage is rebilled at the observed cost plus a platform margin, according to the unit prices in effect. You are alerted as quotas are approached and can track consumption from your account. Overage is billed via Stripe at the end of each period.
VAT
French VAT (applicable rate) is charged unless a business customer provides a valid intra-EU VAT number from another Member State, in which case the reverse-charge mechanism applies under Article 196 of Directive 2006/112/EC.
Auto-renewal
Subscriptions auto-renew at term for an identical period unless terminated. The customer is informed at least 30 days before renewal and may terminate at any time from their settings or in writing to contact@freelance-os.fr.
Right of withdrawal
Consumers (B2C)
Under Article L221-18 of the French Consumer Code, you have a 14-day withdrawal period from subscription, without justification.
To exercise: email contact@freelance-os.fr stating your intent to withdraw.
If you expressly requested immediate execution of the service, the refund is prorated to the service already provided (Art. L221-25 of the French Consumer Code).
Professionals (B2B)
The right of withdrawal does not apply to subscriptions concluded by a professional in the course of their business.
Refund
Outside the B2C right of withdrawal, payments are non-refundable, except in case of manifest billing error or major failure attributable to Freelance OS. Any request can be sent to contact@freelance-os.fr and will be reviewed in good faith.
Suspension for non-payment
In case of failed charge, Freelance OS will retry billing under Stripe Smart Retries. After 7 days of unpaid balance, workspace access may be suspended. After 30 days, the account may be terminated.
During suspension, data is retained and restorable upon payment resumption or via an export request.
Termination
You may terminate at any time from your settings or by email to contact@freelance-os.fr. Termination takes effect at the end of the current paid period. No prorata refund is due, except as otherwise stated herein.
Freelance OS may terminate for cause (material breach of Terms, fraud, non-payment) with 7 days' notice, or without notice in case of manifestly illegal use.
Data after termination
Workspace data is retained 30 days after termination to allow optional export, then deleted. Documents subject to legal retention (Counsel: quotes, contracts, invoices) are retained 10 years under Article L123-22 of the French Commercial Code.
Warranties
Freelance OS undertakes to provide the service with reasonable care and in line with the SLA. No fitness-for-purpose warranty is given beyond these Sales Terms.
Mediation and disputes
For consumers, see mediation information in the legal notices. Failing amicable resolution, the courts of Paris have exclusive jurisdiction for professionals.
